Institutional membership may be obtained by homeowner associations and apartment residents associations, not for profit organization and churches, businesses and  by anyone at least 18 years of age (1) residing, (2) owning real property, (3) owning a business, (4) working or (5) regularly involved in the Cathedral Hill area roughly bounded by Sutter Street (North), Eddy  Street (South), Fillmore Street (West) and Van Ness Avenue (East).

A household or business may have more than one voting member, but each person must be a registered member.

By-Laws of the Cathedral Hill Neighbors Association

Article I: Name. The name of this organization shall be the Cathedral Hill Neighbors Association (CHNA).
Article II: Purpose and Role.

Section 1. The CHNA exists to maintain and enhance the quality of life for residents and businesses in the Cathedral Hill neighborhood of the City of San Francisco, California. The CHNAs purposes include promoting community involvement in neighborhood planning and zoning, traffic control, safety, beautification, and to serving as a liaison between the community and the City and County of San Francisco, including the San Francisco Planning Commission, the San Francisco Redevelopment Agency, and San Francisco City Council, and to address other issues as determined by the membership.

Section 2. The CHNA is intended to reflect and respect the varied opinions of all Cathedral Hill residents and businesses. The CHNA may endorse political candidates.

Section 3. The CHNA may, at the discretion of the Board of Directors, adopt formal positions on contentious or debatable issues, in accordance with its Mission Statement below.

Ensure compliance with height, density and land use restrictions, without exemptions for special interests; Maintain and enhance safe air quality, noise levels and environmental health standards;
Limit unreasonable traffic and parking congestion in our critical transit corridors; Keep our neighborhood livable for our residents, workers, businesses and visitors.

Article III: Members

Section 1. Membership may be obtained by anyone at least 18 years of age (1) residing, (2) owning real property, (3) owning a business, (4) working or (5) regularly involved in the area roughly bounded by Sutter Street (North), Eddy  Street (South), Fillmore Street (West) and Van Ness Avenue (East). The Board of Directors, at its discretion, may establish one or more classes of Membership, with different voting rights and Membership duties or obligations, by amending the Articles of Incorporation and these bylaws as necessary.

Section 2. Membership is obtained by providing the Treasurer with the member’s name, address, telephone number, and at the member’s option, an e-mail address. (Note: a household or business may have more than one voting member, but each person must be registered on the membership list.)

Section 3. No one shall be denied membership on the basis of ethnic origin, religious beliefs, sex, age, sexual preference or disability.

Section 4. There shall be annual membership dues in amounts determined by a majority vote of CHNA Board of Directors present at a noticed Annual Meeting. The Board of Directors may, at its discretion, establish varying levels of annual membership dues for individuals, businesses, nonprofit organizations, condominium associations, and religious or eleemosynary organizations, among others. Dues shall be deposited into the CHNA’s bank account. The CHNA may, at the discretion of the Board of Directors, accept donations from persons or organizations expressing an interest in promoting the activities of the CHNA but who do not wish to be members of the CHNA.

Section 5. There shall be one vote per member. However a proxy may be designated in writing when the Board deems such a voting method necessary.

Section 6. Membership is terminated upon resignation of the member, or expulsion by the membership, provided that the expulsion is done in good faith and in a fair and reasonable manner. The procedure for expulsion or suspension must include at least fifteen days written notice to the member, setting forth the reasons for expulsion and the date of a hearing. Expulsion requires a 2/3 majority-vote of the Board of Directors, and can be appealed to the membership at a at a duly noticed meeting, such notice to be sent no less than 14 days prior to the meeting, to be sent by the Board of Directors at the request of the expelled member Overturning an expulsion requires a majority vote of the CHNA members attending the noticed meeting.

Section 7. Membership is non-transferable.

Section 8. Members are eligible for all official CHNA communications including e-mail, newsletters and other material that may be distributed.

Section 9. A mailing list will be maintained by the CHNA for official correspondence. The CHNA mailing list will be used only for CHNA business, and will not be sold or traded. To remain on the mailing list, members must renew their membership. Mailings may be via regular mail or e-mail. Notices may be sent by regular mail, e-mail, newsletter or posting to web page.

Article IV. Membership Meeting

Section 1. The annual membership meeting shall be held during the month of June, commencing in the year 2007, or as soon thereafter as determined by the Board of Directors. Notice of Annual membership meetings will be distributed to Members at least 14 days prior to the meeting.

Section 2. Annual membership meetings may include, but are not limited to, votes to establish committees and adopt or modify the bylaws, and to elect the Board of Directors.

Section 3. A quorum at an annual membership meeting or other meeting of the general membership is defined as those present at the meeting.

Section 4. Other meetings may be convened from time to time throughout the year provided that reasonable notice is given in advance of the meeting, or a schedule of such meetings is established by the Board of Directors. The items of CHNA business set forth in Section 2 of this Article IV shall not be conducted at such non-annual general meetings, and such non-annual general meetings may be open to the public at the discretion of the Board of Directors.

Section 5. Notice of meetings may be sent by a combination of:

Section 6. Record data shall be 10 days prior to meetings

Article V. Board of Directors

Section 1. A Board of Directors of no less than 5, and no more than 9 persons will be elected by the membership at the annual membership meeting.

Section 2. All Board members must be members of CHNA.

Section 3. The Board must at all times consist of a majority of Cathedral Hill residents

Section 4. To allow for continuity of service, the Board of Directors shall have staggered 2-year
terms. In a method acceptable to those elected, the initial Board will identify at least 3 Board members with 2-year terms, and at least 2 Board members with 1-year terms. All subsequent Board members will have 2-year terms. Until the first annual membership meeting is held, the Board of Directors may appoint replacement Board members for those members whose terms expire.

Section 5. The officers shall be members of the Board of Directors and elected by the Board of Directors. Officers will consist of Chairperson/President, Vice Chair/Vice President, Treasurer, and Secretary.

Section 6. Officers shall be elected for 1-year term of office, or until their successors are elected.

Section 7. The Board of Directors shall have a minimum of 4 meetings per year. All meetings are open to all CHNA members and the Board shall cause reasonable notice of such meetings to be sent to all members.

Section 8. A quorum for Board of Directors meetings is 50% of the board membership. A quorum is required to conduct official business at any Board of Directors meeting.

Section 9. Removal of a Board member is achieved by a two thirds vote of the Board of Directors, provided that the removal is done in good faith and in a fair and reasonable manner. The procedure for removal must include at least fifteen days written notice to the Board member, setting forth the reasons for removal, and include the date of the Board meeting where a hearing will take place. Board member removal can be appealed to the membership at a duly noticed meeting, such notice to be sent no less than 14 days prior to the meeting, to be sent by the Board of Directors at the request of the removed Board. Overturning an expulsion requires a majority vote of the CHNA members attending the noticed meeting.

Section 10. If for any reason a Board member cannot serve their entire two year term, a new Board member may be appointed by the Board of Directors to serve the remainder of the term. The new board member must be approved by 50%+1 of the active Board members.

Article VI: Board of Directors Elections

Section 1: A ballot will be provided at the annual meeting of the membership.

Section 2. Board members will be elected at the annual membership meeting. Each CHNA member may vote for any number of candidates – up to the number of open seats on the board of directors.
A CHNA member must sign for each ballot. Each CHNA member may submit only one ballot.

Section 3. Residing board members that are not currently on the ballot will count ballots. The nominees receiving the most valid votes will be elected to the board of directors. Ballots must be counted, and results noticed within seven (7) days of the annual membership meeting. Newly elected board members will assume their duties immediately after the results are announced to the general membership.

Article VII: Committees

Section 1. There shall be any number of standing committees, ad hoc committees, or Task Forces.

Section 2. Committees are established by the consensus of the membership, by the Board of Directors, or as appointed by the Chair/President.

Section 3. Committee membership is open to all interested members. Committees can include individuals that are not members of CHNA at the discretion of the Committee. The majority of the members of all committees shall be members of CHNA.

Section 4. Committee chairs are elected by the Committee Members.

Section 5. Committee chairs are responsible for reporting committee proceedings to the Board of Directors or general membership in a timely fashion.

Article VIII: Committee Meetings

Section 1. Committee meetings shall be called by each committee or by the Board of Directors with no less than five days notice to the committee members. Committee meetings shall be open to the general membership, but notice to the general membership shall not be required.

Article IX: Amendment or Modification
Amendment or modification of these bylaws may only be accomplished by:

(a) Affirmative vote of a majority of the Board of Directors at a regularly noticed meeting; or

(b) Affirmative vote of a two thirds majority of the members present at a duly noticed annual membership meeting

Article IX: Dissolution

Section 1. Dissolution of the CHNA may only be accomplished by a two thirds vote of the Board of Directors, thereafter ratified by a majority vote of the general membership at a duly noticed meeting, notice of such meeting to be sent to the general membership no less than 14 days prior to the meeting.

Section 2. Upon dissolution of the CHNA, any assets remaining after payment of debts and liabilities shall be donated to a non-profit community group, as directed by a majority of the Board of Directors.
